1. About TrustLink

TrustLink is a secure payment protection service that holds buyer funds until a buyer confirms delivery of an item purchased from a vendor on social commerce platforms (WhatsApp, Instagram, TikTok, etc.). TrustLink is operated by Oduaverse Tech. All payments are processed by Paystack (a Stripe company), a licensed payment service provider in Nigeria.

2. Eligibility

You must be at least 18 years old and resident in Nigeria to use TrustLink as a vendor. Buyers may be any age, but payment must be made using a card or bank account belonging to or authorised by an adult.

3. How Payment Protection Works

  1. A vendor creates a secure payment link for a specific product and price.
  2. The buyer pays via the link. Funds are held securely by Paystack on behalf of TrustLink.
  3. The vendor ships the item and marks the transaction as shipped.
  4. The buyer receives a 6-digit delivery confirmation code by email at the time of payment.
  5. Upon receiving the item, the buyer enters the code to confirm delivery.
  6. TrustLink releases 98% of the payment to the vendor's registered bank account. TrustLink retains a 2% platform fee.

4. Vendor Obligations

  • Vendors must provide accurate business name, bank account, and location during registration.
  • Vendors must dispatch the exact item described in the payment link.
  • Vendors must not create payment links for prohibited goods (see Section 7).
  • Vendors must not attempt to obtain the buyer's delivery code by any deceptive means before the buyer receives and inspects the item.
  • Vendors agree that their identity and bank details may be shared with Paystack for KYC and settlement purposes.

5. Buyer Obligations

  • Buyers must only enter their delivery code after receiving and inspecting the item.
  • Buyers must not share their delivery code with anyone, including the vendor, before confirming receipt.
  • Once the delivery code is confirmed, the transaction is considered complete and funds are released — this action is irreversible.
  • Buyers who initiate fraudulent chargebacks after confirming delivery may be permanently blacklisted.

6. Disputes

If a buyer has not received their item, or the item received does not match the description, the buyer may open a dispute via the tracking page before entering the delivery code. Upon dispute:

  • Funds remain frozen and inaccessible to the vendor.
  • TrustLink will investigate using available evidence (chat records, photos, tracking).
  • TrustLink's decision on fund release or refund is final within the platform.
  • Either party retains the right to pursue legal remedies independently.

7. Prohibited Items

You may not use TrustLink to buy or sell:

  • Firearms, ammunition, or weapons of any kind
  • Narcotics, controlled substances, or illegal drugs
  • Counterfeit goods or pirated software
  • Stolen property
  • Adult content or sexual services
  • Any item or service that is illegal under Nigerian law

Violations will result in immediate account suspension, fund forfeiture, and possible referral to law enforcement.

8. Fees

TrustLink charges a 2% platform fee deducted from the vendor's payout on each completed transaction. There are no fees for buyers, no monthly subscription, and no setup cost for vendors.

9. Transaction Limits

Vendor transaction capacity is subject to KYC tier limits:

  • Tier 1 (email only): ₦300,000/week cumulative
  • Tier 2 (BVN verified): ₦2,000,000/week cumulative
  • Tier 3 (manual approval): Unlimited — contact TrustLink support

10. Limitation of Liability

TrustLink is an intermediary that holds funds on behalf of buyers and vendors. TrustLink is not liable for: the quality, safety, or legality of items sold; vendor non-performance; or losses resulting from buyer or vendor fraud beyond what the platform can prevent. In no event shall TrustLink's aggregate liability exceed the platform fee (2%) actually collected from the transaction in question. TrustLink shall not be liable for any indirect, incidental, consequential, punitive, or special damages of any kind, even if advised of the possibility of such damages.

11. Account Suspension and Blacklisting

TrustLink reserves the right to suspend or permanently ban any vendor or buyer who: provides false information during registration; engages in fraud; sells prohibited items; or abuses the dispute system. Blacklisted users will not be eligible for refund of any platform fees already charged.

12. Changes to These Terms

TrustLink may update these terms at any time. Continued use of the platform after an update constitutes acceptance of the new terms. Material changes will be communicated via email or in-app notification.

13. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall first be attempted through TrustLink's internal dispute resolution process, then through mediation, and finally through the courts of Nigeria.

14. Indemnification

You agree to indemnify, defend, and hold harmless TrustLink, Oduaverse Tech, and their respective officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of or access to the platform; (b) your violation of these Terms; (c) any dispute between you and any other user of the platform; (d) any false, inaccurate, or misleading information you provided during registration or in connection with any transaction; or (e) your violation of any applicable law or third-party rights. This indemnification obligation survives termination of your account and your use of the platform.

15. Disclaimer of Warranties

TrustLink is provided on an "as is" and "as available" basis without warranty of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We are not liable for delays or failures caused by Paystack, Nigerian banking infrastructure, telecommunications providers, internet outages, or any factor outside our reasonable control. Your use of the platform is at your sole risk.

16. Force Majeure

TrustLink shall not be liable for any failure or delay in performance of its obligations arising from events beyond its reasonable control, including but not limited to: CBN or other regulatory actions, Nigerian banking system failures, Paystack service outages, internet or telecommunications disruptions, power failures, natural disasters, civil unrest, epidemics, or any government orders or restrictions. In such events, our obligations are suspended for the duration of the force majeure event.
